(the "Company" or "Spetz") (CSE:SPTZ)(OTC Pink:DBKSF) is pleased to announce that it is arranging a private placement offering (the "Offering") of up to 5,000,000 Common Shares, at a price of $0.10 per share, for gross proceeds of up to $500,000. In addition, Spetz is proposing to settle an aggregate of $445,645.89 in accounts payable to arm's length parties by way of the issuance of 4,456,458 shares for debt at an issue price of 0.10 per share (the "Shares for Debt Transactions"), and is negotiating the restructuring of certain outstanding debt, in the aggregate principal amount of $1,017,673, consisting primarily of convertible debentures that have become due, as further described below (the "New Debentures"). United States President-elect Donald Trump said on Monday (Dec 2) there would be "hell to pay" in the Middle East if hostages held in the Gaza Strip were not released prior to his Jan 20 inauguration. Snow continued to fall Monday around parts of the Great Lakes region, where storm-weary residents who have plowed and shoveled for days faced the prospect of even greater accumulations. Lake-effect snow fell on parts of western New York, Pennsylvania and Ohio that were already blanketed with a foot (0.3 meters) or more over the past four days. By Monday morning, the village of Cassadaga, New York, east of Lake Erie, recorded 4.5 feet (1.4 meters) of snow. Snow was forecast through Tuesday in that largely rural area south of Buffalo. “It was so much, so quick, that we got buried," said Rebecca Chamberlin, who lives in Cassadaga with her husband and two sons. She has been struggling to keep up with the bands of sometimes wet and heavy snow. “If it had been, you know, over a period of a week or more, it wouldn’t have been so bad.” In Ohio, the quaint village of Geneva-on-the-Lake had more than 4 feet (1.2 meters) of snow, and more is in the forecast through the rest of the week, according to the National Weather Service. “At this point, it's just annoying,” said Ryan Colby, who lives a snowball's toss from Lake Erie in the Ohio village. “We’ve just been getting hit left and right with it. The Pittsburgh Steelers take on what is typically an unenviable task -- traveling on a short week for a Thursday night primetime game. However, a few things are playing in Pittsburgh's favor as Week 12 of the NFL regular season kicks off. Namely, the "trip" to Cleveland is a little more than two hours by road and when the Steelers arrive there, they'll be facing a backup quarterback at the helm of a massively underwhelming 2-8 Browns team.
