PASADENA, Calif., Dec. 02, 2024 (GLOBE NEWSWIRE) — via IBN – VenHub, a disruptive AI and robotics company (“VenHub” or the “Company”), and (NASDAQ: TGAA) (“TGAA”), a NASDAQ-listed special purpose acquisition company, today announced they have entered into a definitive business combination agreement, dated as of December 2, 2024 (the “Business Combination Agreement”). The proposed business combination (the “Proposed Business Combination”) is expected to be completed (the “Closing”) in the second quarter of 2025, subject to customary closing conditions, including regulatory and shareholder approvals. The combined company will operate as VenHub Global Holdings, Inc. following the Closing and is expected to list on Nasdaq under the ticker symbol “VHUB”. As one of the leading providers of a 24/7 autonomous smart store, VenHub has introduced and developed a solution with the potential to transform how consumers interact with technology in retail environments. Powered by proprietary software and unique robotics arms technology, VenHub’s product offering can provide a seamless customer experience. Manufactured by a leader in the global robotics industry, the innovative robotic arms technology can differentiate VenHub from traditional retail solutions and well-positions the Company in the automated retail space. Additionally, VenHub’s cutting edge vision system adds precision and reliability to its product offering, and the efficiency and security of the Smart Stores are enabled by VenHub’s intellectual property portfolio. Founded in 2023, VenHub is addressing challenges facing traditional retail stores, including inefficient inventory management, limited hours, high labor costs, and security concerns. The Smart Stores are designed to utilize data-driven inventory management, a self-service delivery system, and advanced security protection, all of which reduce labor costs and collectively enhance sales and growth potential. Through these potential competitive advantages, VenHub has secured over 1,000 customer pre-orders across 48 states, with potential revenue of more than $300 million in pre-order value. This pre-order book demonstrates market confidence in VenHub’s smart store technology. VenHub’s growth strategy focuses on geographic and store format expansion to meet the growing demand for autonomous retail solutions, as well as product diversification to enhance VenHub’s market presence and operational efficiency. The Company’s CapEx-light business model has the potential to create value for stakeholders, and its diversified business model with potential for recurring revenue can allow VenHub to achieve its expansion plan. : “This is day one for VenHub on a larger stage,” Shahan Ohanessian, CEO of VenHub, remarked. “We’re at the starting line of what I believe will be a remarkable journey, turning our vision into reality and expanding our reach on a global scale. We’re not just joining the market; we’re aiming to pioneer a new frontier in smart retail that enhances how businesses and consumers connect.” : “We are excited to partner with Shahan and the VenHub team. VenHub’s efficient, capital-light business model, combined with strong near-term projected positive cash flow generation, positions the Company for sustainable growth. This approach enables strategic expansion into multiple geographic markets while leveraging internally generated cash flow and maintaining disciplined resource allocation.” The Proposed Business Combination implies a pro forma enterprise value of $715 million, which assumes an estimated equity value of $650 million, $26 million in new cash to the balance sheet (assuming 100% redemptions by TGAA public shareholders), and $0.6 million in existing cash. The Proposed Business Combination is expected to provide net cash to VenHub of up to $14 million to support VenHub’s continued geographic expansion and product diversification. Cash proceeds raised will consist of TGAA’s approximately $20.4 million cash in trust, net of redemptions. The cash in the TGAA trust account is anticipated to support the Company’s growth capital needs, including VenHub’s production, marketing and sales efforts. It is intended that 100% of existing VenHub stockholders will roll over their equity and, assuming no redemptions and full rollover, own approximately 89% of the pro forma equity of the combined company in connection with the transaction. The Proposed Business Combination has been approved by the boards of directors of both VenHub and TGAA and is expected to close in the second quarter of 2025, subject to shareholder approvals and other customary closing conditions. For a summary of the material terms of the Proposed Business Combination, as well as a supplemental investor presentation, please see the Current Report on Form 8-K filed today by TGAA with the U.S. Securities and Exchange Commission (the “SEC”). In an online press conference early Saturday morning, Duterte revealed that she had contracted an assassin to kill President Marcos, first lady Liza Araneta-Marcos and Speaker Martin Romualdez should an alleged plan to eliminate her succeed. Duterte’s statement was considered by Malacañang as an “active threat” against the President, who later said he would fight it. The Presidential Security Command tightened the security for the President and his family. READ: NBI summons VP Duterte on her threat to ‘kill’ Marcoses Her disclosure prompted the National Bureau of Investigation to issue a subpoena on Monday, summoning her to the NBI’s main office at 9 a.m. on Friday, Nov. 29, so she could explain her side. Duterte was asked to shed light on the investigation of the alleged grave threats under Article 282 of the Revised Penal Code, in connection with Section 6 of the Cybercrime Prevention Act of 2012 (Republic Act No. 10175) and possible violation of the Anti-Terrorism Act of 2020 (Republic Act No. 11479). Justice Undersecretary Jesse Andres, speaking to reporters on Wednesday, cited Section 4(a) of the Anti-Terrorism Act, which defines terrorism as any act intended to cause death, serious bodily injury or endanger a person’s life. The law specifies that when such acts are carried out to intimidate the public, create fear, or spread a message of terror, the offender shall be deemed guilty of terrorism and face life imprisonment. “It is clear under our laws that if you take actions to harm or threaten another person’s life, that falls under terrorism, especially if the purpose is to intimidate or create an atmosphere of fear,” Andres said. He emphasized that Duterte’s threat went beyond mere words, noting that “she has already begun to act on it.” “She herself said that she had spoken to someone, identified the targets—three names—with clear instructions on what to do,” Andres added. Andres also pointed out the political implications of the threat. “We have to understand that in the proper context. The Vice President is the beneficiary if ever the President’s office is vacated by death or incapacity,” he said. He underscored the gravity of Duterte’s assassination plot, saying that “a threat to the President is a threat to every Filipino.” “Can you imagine a situation where the Vice President is accused of plotting against the President’s life, and then the President actually dies?” Andres said. Authorities are currently investigating Duterte’s death threats against the President, alongside another investigation on her father’s call for military action to correct the country’s “fractured governance.” Executive Secretary Lucas Bersamin, a former Supreme Court chief justice appointed to the post by the elder Duterte in 2018, condemned the former chief executive for his “selfish and brazen” motives in urging the military to take action against Marcos and call for his overthrow so that his daughter could take control of Malacañang. “He will go to great and evil lengths, such as insulting our professional armed forces by asking them to betray their oath, for his plan to succeed,” Bersamin said in a statement on Tuesday. Andres said the ex-President’s call was “bordering on sedition and is legally actionable.” The DOJ official said the statements of the Vice President’s father would also be investigated alongside other similar declarations, including “people encouraging some form of demonstration.” Subscribe to our daily newsletter By providing an email address. Valero Energy Corp. stock rises Wednesday, still underperforms marketBEIRUT (AP) — Insurgents' stunning march across Syria accelerated Saturday with news that they had reached the gates of the capital and that government forces had abandoned the central city of Homs. The government was forced to deny rumors that President Bashar Assad had fled the country. The loss of Homs is a potentially crippling blow for Assad. It stands at an important intersection between Damascus and Syria’s coastal provinces of Latakia and Tartus — the Syrian leader’s base of support and home to a Russian strategic naval base. The pro-government Sham FM reported that government forces took positions outside Syria’s third-largest city, without elaborating. Rami Abdurrahman who heads the Britain-based Syrian Observatory for Human Rights, said Syrian troops and members of different security agencies have withdrawn from the city, adding that rebels have entered parts of it. The capture of Homs is a major victory for insurgents, who have already seized the cities of Aleppo and Hama , as well as large parts of the south, in a lightning offensive that began Nov. 27. Analysts said Homs falling into rebel hands would be a game-changer. The rebels' moves around Damascus, reported by the monitor and a rebel commander, came after the Syrian army withdrew from much of southern part of the country, leaving more areas, including several provincial capitals, under the control of opposition fighters. For the first time in the country’s long-running civil war, the government now has control of only three of 14 provincial capitals: Damascus, Latakia and Tartus. The advances in the past week were among the largest in recent years by opposition factions, led by a group that has its origins in al-Qaida and is considered a terrorist organization by the U.S. and the United Nations. In their push to overthrow Assad's government, the insurgents, led by the Hayat Tahrir al-Sham group, or HTS, have met little resistance from the Syrian army. The rapid rebel gains, coupled with the lack of support from Assad's erstwhile allies, posed the most serious threat to his rule since the start of the war. The U.N.’s special envoy for Syria, Geir Pedersen, on Saturday called for urgent talks in Geneva to ensure an “orderly political transition.” Speaking to reporters at the annual Doha Forum in Qatar, he said the situation in Syria was changing by the minute. Russian Foreign Minister Sergey Lavrov, whose country is Assad's chief international backer, said he feels “sorry for the Syrian people.” In Damascus, people rushed to stock up on supplies. Thousands went to Syria's border with Lebanon, trying to leave the country. Many shops in the capital were shuttered, a resident told The Associated Press, and those still open ran out of staples such as sugar. Some were selling items at three times the normal price. “The situation is very strange. We are not used to that,” the resident said, insisting on anonymity, fearing retributions. “People are worried whether there will be a battle (in Damascus) or not.” It was the first time that opposition forces reached the outskirts of Damascus since 2018, when Syrian troops recaptured the area following a yearslong siege. The U.N. said it was moving noncritical staff outside the country as a precaution. Assad's status Syria’s state media denied social media rumors that Assad left the country, saying he is performing his duties in Damascus. He has had little, if any, help from his allies. Russia, is busy with its war in Ukraine . Lebanon’s Hezbollah, which at one point sent thousands of fighters to shore up Assad's forces, has been weakened by a yearlong conflict with Israel. Iran has seen its proxies across the region degraded by regular Israeli airstrikes. U.S. President-elect Donald Trump on Saturday posted on social media that that the United States should avoid engaging militarily in Syria. Pedersen said a date for talks in Geneva on the implementation a U.N. resolution, adopted in 2015, and calling for a Syrian-led political process, would be announced later. The resolution calls for the establishment of a transitional governing body, followed by the drafting of a new constitution and ending with U.N.-supervised elections. Later Saturday, foreign ministers and senior diplomats from eight key countries, including Saudi Arabia, Russia, Egypt, Turkey and Iran, along with Pederson, gathered on the sidelines of the Doha Summit to discuss the situation in Syria. In a statement issued late Saturday, the participants affirmed their support for a political solution to the Syrian crisis “that would lead to the end of military activity and protect civilians.” They also agreed on the importance of strengthening international efforts to increase aid to the Syrian people. The insurgents' march Rami Abdurrahman, who heads the Britain-based Syrian Observatory for Human Rights, an opposition war monitor, said insurgents were in the Damascus suburbs of Maadamiyah, Jaramana and Daraya. Opposition fighters were marching toward the Damascus suburb of Harasta, he added. A commander with the insurgents, Hassan Abdul-Ghani, posted on the Telegram messaging app that opposition forces had begun the “final stage” of their offensive by encircling Damascus. HTS controls much of northwest Syria and in 2017 set up a “salvation government” to run day-to-day affairs in the region. In recent years, HTS leader Abu Mohammed al-Golani has sought to remake the group’s image, cutting ties with al-Qaida, ditching hard-line officials and vowing to embrace pluralism and religious tolerance. The shock offensive began Nov. 27, during which gunmen captured the northern city of Aleppo, Syria’s largest, and the central city of Hama , the country’s fourth largest city. Opposition activists said Saturday that a day earlier, insurgents entered Palmyra, which is home to invaluable archaeological sites had been in government hands since being taken from the Islamic State group in 2017. To the south, Syrian troops left much of the province of Quneitra including the main Baath City, activists said. Syrian Observatory said government troops have withdrawn from much of the two southern provinces. The Syrian army said in a statement that it carried out redeployment and repositioning in Sweida and Daraa after its checkpoints came under attack by “terrorists." The army said it was setting up a “strong and coherent defensive and security belt in the area,” apparently to defend Damascus from the south. The Syrian government has referred to opposition gunmen as terrorists since conflict broke out in March 2011. Diplomacy in Doha The foreign ministers of Iran, Russia and Turkey, meeting in Qatar, called for an end to the hostilities. Turkey is a main backer of the rebels. Qatar's top diplomat, Sheikh Mohammed bin Abdulrahman Al Thani, criticized Assad for failing to take advantage of the lull in fighting in recent years to address the country’s underlying problems. “Assad didn’t seize this opportunity to start engaging and restoring his relationship with his people,” he said. Sheikh Mohammed said he was surprised by how quickly the rebels have advanced and said there is a real threat to Syria’s “territorial integrity.” He said the war could “damage and destroy what is left if there is no sense of urgency” to start a political process. ____ Karam reported from London. UNICO Berkshire County Baseball and Softball Hall of Fame inducts new classMorgan Rogers looked to have given Unai Emery’s side another famous win when he slammed a loose ball home at the death, but referee Jesus Gil Manzano ruled Diego Carlos to have fouled Juve goalkeeper Michele Di Gregorio and the goal was chalked off. It was a disappointment for Villa, who remain unbeaten at home in their debut Champions League campaign and are still in contention to qualify automatically for the last 16. A very controversial finish at Villa Park 😲 Morgan Rogers' late goal is ruled out for a foul on Juventus goalkeeper Michele Di Gregorio and the match ends 0-0 ❌ 📺 @tntsports & @discoveryplusUK pic.twitter.com/MyYL5Vdy3r — Football on TNT Sports (@footballontnt) November 27, 2024 Emiliano Martinez had earlier displayed why he was named the best goalkeeper in the world as his wonder save kept his side level in the second half. The Argentina international paraded his two Yashin Trophies on the pitch before kick-off at Villa Park and then showed why he won back-to-back FIFA awards when he denied Francisco Conceicao. Before Rogers’ moment of drama in the fourth minute of added time, the closest Villa came to scoring was in the first half when Lucas Digne’s free-kick hit the crossbar. But a draw was a fair result which leaves Villa out of the top eight on goal difference and Juventus down in 19th. Before the game Emery called Juventus one of the “best teams in the world, historically and now”, but this was an Italian side down to the bare bones. Only 14 outfield players made the trip from Turin, with striker Dusan Vlahovic among those who stayed behind. The opening 30 minutes were forgettable before the game opened up. Ollie Watkins, still chasing his first Champions League goal, had Villa’s first presentable chance as he lashed an effort straight at Di Gregorio. Matty Cash then had a vicious effort from the resulting corner which was blocked by Federico Gatti and started a counter-attack which ended in Juventus striker Timothy Weah. Villa came closest to breaking the deadlock at the end of the first half when Digne’s 20-yard free-kick clipped the top of the crossbar and went over. Martinez then produced his brilliant save just after the hour. A corner made its way through to the far post where Conceicao was primed to head in at the far post, but Martinez sprawled himself across goal to scoop the ball away. At the other end another fine goal-line block denied John McGinn as Manuel Locatelli got his foot in the way with Di Gregorio beaten. The game looked to be petering out until a last-gasp free-kick saw Rogers slam home, but whistle-happy official Gil Manzano halted the celebrations by ruling the goal out.

As the definitive “show about” nothing,” Seinfeld is the perfect show to help one relax and enjoy themselves. Jerry and his friends have virtually no shortage of witty and unforgettable episodes in their series that go off the rails in the best possible way. Our political system is breaking down. Now it has killed.' A motive has not been released by police, however bullet casings found at the scene were inscribed with the words 'deny', 'defend' and 'depose'.
