SAN DIEGO , Dec. 23, 2024 /PRNewswire/ -- CreateAI Holdings Inc., formerly TuSimple Holdings Inc. (OTCMKTS: TSPH) ("CreateAI" or the "Company"), a global artificial intelligence technology company, today announced shareholder voting results for its annual meeting of stockholders held on December 20, 2024 (the "Annual Meeting"). As of October 28, 2024 , the record date for the Annual Meeting, there were a total of 232,618,399 shares of common stock outstanding and entitled to vote at the Annual Meeting, comprised of 208,618,399 shares of Class A Common Stock (each with one vote per share) and 24,000,000 shares of Class B Common Stock (each with ten votes per share). At the Annual Meeting, holders of 207,347,538 shares of common stock, representing 423,347,538 votes, entitled to vote at the meeting were represented in person or by proxy and, therefore, a quorum constituted of the majority of the voting power of the shares of common stock issued and outstanding and entitled to vote at the Annual Meeting was present. The following is a brief description of each matter voted upon at the 2024 Annual Meeting and the numbers of votes cast for, withheld, or against, the number of abstentions, and the number of broker non-votes with respect to each other, as applicable. 1. Election of six nominees to serve on the Board of Directors (the "Board") for a term which will expire at the 2025 annual meeting of stockholders, or, if Proposal Two is adopted, to hold office until the annual meeting of stockholders in accordance with the class of director to which each nominee will be assigned. The following six directors were elected by the votes as indicated below. The totals above include the 240,000,000 votes represented by the Class B shares of Common Stock. 12,000,000 shares of Class B Common Stock (representing 120,000,00 votes) were voted "FOR" and 12,000,000 shares of Class B Common stock (representing 120,000,00 votes) were voted "WITHHELD" for each of the Directors other than Albert Schultz . All shares of Class B Common Stock were voted "FOR" the election of Albert Schultz . Excluding the 240,000,000 votes from the 24,000,000 shares of Class B Common Stock from the totals above, the 183,347,538 shares of Class A Common Stock were voted as indicated below. 2. Amendment to the Company's Restated Certificate of Incorporation to classify the Board of Directors into three classes, with directors in each class to serve staggered three-year terms. Pursuant to the Restated Certificate of Incorporation, Proposal Two must receive the affirmative vote of the holders of at least a majority of the voting power of all of the then-outstanding shares of the capital stock of the Company entitled to vote generally in the election of directors, voting together as a single class, since directors representing two-thirds (2/3) of the total number of authorized directors have already approved. The amendment was not approved 2 by the votes as indicated below: Because Proposal Two was not approved, the six directors elected pursuant to Proposal One will serve on the Board for a term which will expire at the 2025 annual meeting of stockholders. 3. Ratification of the appointment of UHY LLP as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2024 . The selection was ratified by the votes as indicated below: Note 1: Includes 120,000,000 votes of the 12,000,000 shares of Class B Common Stock held by White Marble LLC and White Marble International Limited (together, the "White Marble Entities") controlled by Dr. Xiaodi Hou . Note 2: The White Marble Entities have filed an action in the Delaware Court of Chancery seeking a declaratory judgment that the voting agreement between White Marble and Mo Chen is invalid and White Marble, not Mo Chen , controls the vote. White Marble LLC v. Chen , C.A. No. 2024-1208-PAF (Del. Ch.) On December 13, 2024 , the Court entered an order that allows the Company to hold the vote on Proposal Two, and ordered that if Proposal Two is not approved at the Annual Meeting but the Court determines in the Action that Mo Chen , not the White Marble Entities, control how the White Marble Entities' Shares are voted, then the White Marble Entities' shares shall be deemed to have been voted in favor of Proposal Two at the Annual Meeting and that such vote shall stand. The vote totals above include the votes of the shares held by the White Marble Entities as voted by the White Marble Entities. If the shares held by the White Marble entities reflected in the totals above are deemed to have been voted in favor of Proposal Two, the Proposal will have passed. Accordingly, if the Court rules in Mo Chen's favor, Proposal Two will be deemed to have passed and the Company would be permitted to amend its Certificate of Incorporation to implement Proposal Two and each of the directors elected pursuant to Proposal One will serve on the Board until the annual meeting of stockholders in accordance with the class of director to which each nominee is assigned. Shares of retail giant Costco Wholesale ( COST -0.87% ) jumped 11.2% during November, according to data provided by S&P Global Market Intelligence . The company reported monthly sales results early in the month and that's all the encouragement that investors needed to send the stock to an all-time high approaching $1,000 per share. Costco's sales results for October were released on Nov. 6, showing a 7% increase from October 2023. Interestingly, management believes that sales would have been up by an even higher amount. But hurricane preparations in September pulled some sales forward. While a single-digit increase might not seem like much, Costco is one of the biggest businesses in the world with annual sales in excess of $250 billion . Therefore, gaining even a single percentage point translates to billions of dollars. Costco stock has been one of the best performing stocks of the past decade with shares up nearly 600%. And it's also been a great performer in 2024, considering the stock is up 49% year to date as of this writing. And with ongoing strong sales results, investors are reluctant to sell. More all-time highs than one Costco's stock price is hitting all-time highs but so is its valuation. The company went public nearly 40 years ago. But at a price-to-earnings (P/E) ratio of 60, Costco stock has never been more expensive than it is right now, as the chart below shows. COST PE Ratio data by YCharts. In fact, the P/E ratio for Costco stock is more than double its all-time average, which is definitely something that investors today need to take into account when making decisions to buy or sell shares. How should investors process this? In investing, there are various risks, including competition, new technologies, and changing regulations. But valuation can also present a risk. If investors today pay more than Costco is worth, they risk seeing little return on their investment even if the business performs well. This is the only pressing risk that I see with an investment in Costco stock today. And that provides a measure of comfort. Consider that the business uses a membership-based model. And right now, retention rates are high, new members are signing up, and the average age of its members is getting younger, which are all really good signs for the long-term health of the business. For this reason, I find it unlikely that Costco would post financial results bad enough to sink shares back down to more reasonable valuations. It's more likely that shares won't pull back unless there's a broad market decline. If I were a shareholder, I'd take comfort in knowing that the business is as solid as ever, and October financial results showed that. Moreover, the company just released its net sales for November, showing another 6% sales jump. So I wouldn't necessarily consider selling. That said, for those looking to buy Costco stock, it may be prudent to wait for a better price with the valuation now at unprecedented levels.

WASHINGTON (AP) — The House Ethics Committee on Monday accused Matt Gaetz of “regularly” paying for sex, including once with a 17-year-old girl, and purchasing and using illicit drugs as a member of Congress, as lawmakers released the conclusions of a nearly four-year investigation that helped sink his nomination for attorney general. The 37-page report by the bipartisan panel includes explicit details of sex-filled parties and vacations that Gaetz, now 42, took part in from 2017 to 2020 while the Republican represented Florida's western Panhandle. Congressional investigators concluded that Gaetz violated multiple state laws related to sexual misconduct while in office, though not federal sex trafficking laws. They also found that Gaetz “knowingly and willfully sought to impede and obstruct” the committee's work. “The Committee determined there is substantial evidence that Representative Gaetz violated House Rules and other standards of conduct prohibiting prostitution, statutory rape, illicit drug use, impermissible gifts, special favors or privileges, and obstruction of Congress,” the report said. Before the report came out, Gaetz denied any wrongdoing and criticized the committee's process. “Giving funds to someone you are dating — that they didn’t ask for — and that isn’t ‘charged’ for sex is now prostitution?!?” he posted on X, the website formerly known as Twitter. “There is a reason they did this to me in a Christmas Eve-Eve report and not in a courtroom of any kind where I could present evidence and challenge witnesses.” Gaetz , who was first elected in 2017, spent the majority of his time in Washington enmeshed in scandals that ultimately derailed his selection by President-elect Donald Trump to lead the Justice Department . Gaetz abruptly resigned from Congress last month. His political future is uncertain, although Gaetz has indicated interest in running for the open Senate seat in Florida. The committee painted a damning portrait of Gaetz's conduct, using dozens of pages of exhibits, including text messages, financial records, travel receipts, checks and online payments, to document a party and drug-fueled lifestyle. The committee said it compiled the evidence after issuing 29 subpoenas for documents and testimony and contacting more than two dozen witnesses. In addition to soliciting prostitution, the report said Gaetz “accepted gifts, including transportation and lodging in connection with a 2018 trip to the Bahamas, in excess of permissible amounts.” That same year, investigators said, Gaetz arranged for a staffer to obtain a passport for a woman with whom he was sexually involved, falsely telling the State Department that she was his constituent. In some of the text exchanges made public, he appeared to be inviting various women to events, getaways or parties, and arranging airplane travel and lodging. At one point he asked one woman if she had a “cute black dress” to wear. There were also discussions of shipping goods. One of the exhibits was a text exchange that appeared to be between two of the women concerned about their cash flow and payments. In another, a person asked Gaetz for help to pay an educational expense. Regarding the 17-year-old girl, the report said there was no evidence Gaetz knew she was a minor when he had sex with her. The woman told the committee she did not tell Gaetz she was under 18 at the time and that he learned she was a minor more than a month after the party. But Gaetz stayed in touch with her after that and met up with her for “commercial sex” again less than six months after she turned 18, according to the committee. Florida law says it is a felony for a person 24 or older to have sex with a minor. The law does not allow a claim of ignorance or misrepresentation of a minor's age as a defense. Joel Leppard, who represents two women who told the committee that Gaetz paid them for sex, said the findings “vindicate” the accounts of his clients and “demonstrate their credibility.” “We appreciate the Committee’s commitment to transparency in releasing this comprehensive report so the truth can be known,” Leppard said in a statement. At least one Republican joined all five Democrats on the committee earlier this month in voting to release the report despite initial opposition from GOP lawmakers, including House Speaker Mike Johnson, to publishing findings about a former member of Congress. While ethics reports have previously been released after a member’s resignation, it is extremely rare. On behalf of the Republicans who voted against making the report public, the committee chairman, Rep. Michael Guest of Mississippi, wrote that while the members did not challenge the findings, “we take great exception that the majority deviated from the Committee’s well-established standards,” to drop any investigation when a person is not longer a member of the chamber. Guest added that releasing this report sets a precedent that “is a dangerous departure with potentially catastrophic consequences.” But Maryland Rep. Glenn Ivey, a Democratic member of the committee, said that for transparency, it was crucial for the public and Congress as an institution to read the findings. "I think that’s important for my colleagues here in the House to know how the committee reviews certain acts," he told The Associated Press. "Some of these were obviously conduct that crossed the line, but some of them weren’t.” Mounting a last-ditch effort to halt the publication of the report, Gaetz filed a lawsuit Monday asking a federal court to intervene. He cited what he called “untruthful and defamatory information” that would “significantly damage” his “standing and reputation in the community.” Gaetz’s complaint argued that he was no longer under the committee’s jurisdiction because he had resigned from Congress. The often secretive, bipartisan committee has investigated claims against Gaetz since 2021. But its work became more urgent last month when Trump picked him shortly after the Nov. 5 election Day to be the nation's top law enforcement officer. Gaetz resigned from Congress that same day, putting him outside the purview of the committee's jurisdiction. But Democrats had pressed to make the report public even after Gaetz was no longer in the House and had withdrawn from consideration for Trump's Cabinet. A vote on the House floor this month to force the report’s release failed; all but one Republican voted against it. The committee detailed its start-and-stop investigation over the past several years, which was halted for a time as the Justice Department conducted its own inquiry of Gaetz. Federal prosecutors never brought a case against him. Lawmakers said they asked the Justice Department for information about its investigation, but the agency refused to hand over information, saying it does not disclose information about investigations that do not result in charges. The committee then subpoenaed the department for records. After a back-and-forth between department officials and the committee, the department only handed over “publicly reported information about the testimony of a deceased individual,” according to the committee's report. The report said Gaetz was “uncooperative" throughout the committee's investigation. He provided “minimal documentation” in response to the committee’s requests, it said. “He also did not agree to a voluntary interview.” ___ Associated Press writer Alanna Durkin Richer contributed to this report.Akins Ford is proud to announce valuable research pages for the upcoming 2025 Ford F-150 Raptor, including specs, features, and powertrain options. Revolve Shareholders Approve All Resolutions Proposed by the Board of Directors at the Annual and Special General MeetingElephant Robotics to Exhibit at CES 2025: Featuring Cutting-Edge Innovative Robotics Solutions and AI Bionic Robots DebutDefeated Democrats have once again embarked on a pointless, post-election pursuit of their political Holy Grail — finding the votes to eliminate the Constitution’s Electoral College. It’s never going to happen, but that hasn’t stopped three Senate Democrats from introducing a purely political amendment to change the election of presidents to a national popular vote contest. This despite the fact that Donald Trump won the popular vote in 2024, and historically the winner of the Electoral College has lost the popular vote a handful of times in American history — the last time in 2016. The Senate proposal — which surprisingly was not sponsored by either of Massachusetts’ liberal senators — would need the approval of three-quarters of all 50 states and a two-thirds vote in Congress — a nearly impossible feat in this day and age. Republicans now control the House and Senate and would never let the amendment even come for a vote. So why do Democrats continue to target the Electoral College as their bugaboo? Laziness. It’s a quick and easy fundraising tool for Democrats to raise cash off the backs of deluded supporters. Much the same as the bill to expand the Supreme Court, which also has zero chance of happening. And it’s fairly easy for Democrats to appeal to their partisan supporters to back a popular vote solution, which requires little explanation to their low-information voters. Blaming the Electoral College for their presidential failures is not only bad politics but also inaccurate. Yes, it stopped Al Gore and Hillary Clinton from winning the White House, but the fact is it’s only happened a handful of times in American history. The argument that somehow voters in more populous states are disenfranchised is also a fallacy. Even Ed Markey and Elizabeth Warren of Massachusetts seemed to have moved on to other pursuits, like blocking Trump’s Cabinet appointees. And even liberal publications like The New Republic are ridiculing the Electoral College elimination plan as unrealistic and unnecessary. They point out that it would be much easier for Democrats to simply increase the number of House representatives from 435 to more than 500, thereby giving populous states more power. It’s never been done since 1910 but at least would require only a vote of Congress, not a constitutional amendment. The reason Democrats are grasping at straws is purely political — they realize their chances of winning the White House in the future are quickly slipping away due to their far-left policies and inability to connect with average voters in battleground states. The 2024 election was not some kind of anomaly — it was a predictor of things to come unless Democrats radically change their way of thinking. Their outdated formula for winning elections — cobbling together a majority of liberals, minorities and elites from the West and East coasts — is no longer feasible. Republicans are gaining among Black and Latino voters and capturing most voters in the middle, especially in battleground states like Pennsylvania and Michigan – part of the crumbling “Blue Wall.” It’s a bleak future for Democrats, with or without the Electoral College.
